The Client is responsible for maintaining the confidentiality of their password and for all activities carried out through their account.

EUROTERM reserves the right to suspend or close an account in the event of providing false data, abusive use of the site, or breach of these Terms.

5. Orders and Contract Formation

The website euroterm.ro operates as a catalogue with quote request; it is NOT an online shop with automatic payment.

5.1. How to Order

The Client may initiate a quote request or order through the following channels:

  • Completing the quote request form on the website (shopping cart)
  • Email to office@euroterm.ro
  • Phone at +40 264 410499
  • Fax at +40 264 419730

5.2. Contract Formation

An order becomes binding for EUROTERM only after its written confirmation (by email or fax). The steps are:

  1. The Client sends the quote request / order
  2. EUROTERM assesses product availability and issues a written quote (if applicable) or confirms the order
  3. The Contract is deemed concluded upon receipt of written confirmation from EUROTERM

EUROTERM reserves the right to refuse an order in the following circumstances: the product is unavailable and cannot be sourced within a reasonable time, the data provided by the Client is incomplete or incorrect, the Client has outstanding payments to EUROTERM, or for other justified reasons, with notification to the Client.

6. Prices and Payment

6.1. Prices

All prices displayed on the site are expressed in RON (Romanian Leu) and do not include VAT, as specified in the catalogue: "prices do not include VAT". EUROTERM reserves the right to change prices without prior notice. The applicable price is the one from the confirmed written quote or the price on the date of order confirmation.

6.2. Payment

The only accepted payment method is bank transfer (payment order). EUROTERM does not accept online card payments, cash on delivery, PayPal, cryptocurrencies, or any other form of electronic payment.

Bank details will be communicated on the pro forma invoice / quote sent. Payment is deemed made on the date EUROTERM's bank account is credited.

The payment term is specified in the written quote or, in the absence of an express mention, is 15 calendar days from the invoice date.

6.3. Late Payment

If the payment term is exceeded, EUROTERM may apply late payment penalties in accordance with applicable law (Romanian Law no. 72/2013 on combating late payment in commercial transactions) and/or suspend delivery until full payment of the amounts due.

7. Delivery

Products are delivered within Romania and, under certain conditions, to other EU Member States, via courier companies or specialised transport. Transport costs are borne by the Client, unless otherwise agreed in the written quote. The delivery time is specified in the order confirmation and is indicative. EUROTERM cannot be held liable for delays caused by third-party couriers or force majeure events.

The Client is obliged to check the integrity of the package upon receipt and to report any visible damage in the presence of the courier. Any subsequent complaint regarding damage during transport must be accompanied by proof of the report made to the courier.

8. Right of Withdrawal (Returns)

8.1. Legal Entities (B2B)

As EUROTERM's activity is primarily addressed to legal entities (B2B relationship), the 14-day right of withdrawal provided by Romanian GEO 34/2014 does not apply to contracts concluded between professionals. Return of products by legal entities is only possible based on prior written agreement from EUROTERM, within a maximum of 5 working days from receipt, and products must be in original condition, unused, and in intact packaging. Return costs are borne by the Client. EUROTERM may charge a restocking fee of up to 15% of the value of the returned products.

8.2. Natural Persons (B2C)

In the exceptional case of orders placed by consumer natural persons (within the meaning of consumer protection legislation), they benefit from the legal right of withdrawal of 14 calendar days from the date of receipt of the products, in accordance with GEO 34/2014, without the need to justify the decision. To exercise this right, the Client must notify EUROTERM in writing within the 14-day period, using the withdrawal form available on request. Products must be returned within a maximum of 14 days from notification, in original condition, sealed, and unused. The direct costs of return are borne by the Client. Reimbursement will be made within 14 days of receiving the return, by bank transfer.

8.3. Exceptions to the Right of Return

The right of return does not apply to:

  • Products manufactured to the client's specifications or customised
  • Products which, by their nature, cannot be returned (e.g. sealed products which have been unsealed and can no longer be resold for hygiene or security reasons)
  • Products which have been used, modified, or whose integrity has been compromised

9. Warranties

All products sold by EUROTERM benefit from the warranty granted by the manufacturer, in accordance with the warranty certificates and accompanying technical specifications. The warranty period varies depending on the product and manufacturer and is specified in the documentation delivered with the product.

The warranty covers material and manufacturing defects occurring under normal conditions of use, in accordance with the technical specifications. The following are excluded from the warranty:

  • Defects caused by improper installation, use, or maintenance, contrary to the manufacturer's specifications
  • Defects caused by normal wear and tear
  • Defects caused by force majeure (natural disasters, fires, floods, etc.)
  • Products modified or repaired by unauthorised persons

To exercise warranty rights, the Client must contact EUROTERM and provide the purchase document (invoice) and a description of the defect. EUROTERM will analyse the claim and take the necessary measures (repair, replacement, or refund) in accordance with the manufacturer's policy and applicable law.

The affected party shall notify the other party within 7 days of the occurrence of the event. If the force majeure lasts longer than 30 days, either party may terminate the contract without penalty.

13. Dispute Resolution

Any dispute arising from or in connection with these Terms or the Contract between EUROTERM and the Client shall be settled amicably, through direct negotiations between the parties. To this end, the parties agree to communicate their positions in writing and to make reasonable efforts to reach a mutually acceptable agreement.

If amicable resolution is not possible within 30 days, the dispute shall be submitted to the competent courts of Romania. The applicable law is Romanian law.
